Terms of the ContractScout first-month money-back guarantee.

About the ContractScout Guarantee

The ContractScout Guarantee is designed to reduce the risk of trying our service for the first time. If eligible new business generated through ContractScout does not produce at least £299 in attributable revenue in accordance with these Guarantee Terms, the Client may claim a 100% refund of their first month’s ContractScout service fee. The Guarantee applies to the Client’s first month of service only and is subject to the eligibility requirements and conditions set out below. There is no requirement to purchase a second month of service in order to qualify for the Guarantee.



What we guarantee

If the new business generated from opportunities provided by ContractScout during the Client’s first month produces less than £299 in attributable revenue, the Client may claim a 100% refund of the £299 first-month service fee, subject to these Guarantee Terms. If attributable revenue reaches or exceeds £299, the Guarantee is considered satisfied and no refund will be due. The Guarantee relates to attributable revenue generated from ContractScout opportunities. It does not guarantee a particular number of leads, enquiries, meetings, customers or contracts. The maximum amount refundable under the Guarantee is the amount actually paid by the Client for their first month of ContractScout service.



Who is eligible

The Guarantee is available to new Clients purchasing ContractScout’s service for the first time. To remain eligible, the Client must provide accurate information about their business, services, target customers and geographic territory and reasonably cooperate with ContractScout in setting up and delivering the service. The Client must also make reasonable efforts to respond to interested prospects provided by ContractScout and must not deliberately avoid, delay or reject genuine opportunities for the purpose of qualifying for a refund. The Guarantee is limited to one claim per Client or business and cannot be repeatedly claimed by creating new accounts, changing contact details or otherwise re-registering the same or substantially the same business. Eligibility is subject to the other conditions and exclusions contained in these Guarantee Terms.



Your first month

For the purposes of the Guarantee, the Client’s first month begins on the date their ContractScout service starts and runs for the following 30 days. Only opportunities generated and provided to the Client by ContractScout during this 30-day period are eligible to contribute towards the Guarantee. An opportunity generated during the first month may still count towards attributable revenue if the resulting business is secured after the first month, provided that the revenue falls within the measurement period described under “When revenue is counted”. Cancelling the service before a second month begins does not affect the Client’s eligibility for the Guarantee, provided all other conditions have been satisfied.



What counts as attributable revenue

Attributable revenue means revenue earned by the Client from a new customer or new piece of business that resulted directly from an opportunity first identified or introduced to the Client through ContractScout. Revenue may include the value of completed one-off work and payments received or contractually due for services supplied as a result of that opportunity. Business from a prospect will not be treated as attributable to ContractScout where the Client can reasonably demonstrate that they already had an active commercial relationship or ongoing sales discussion with that prospect before ContractScout introduced the opportunity. Where reasonably necessary to assess a Guarantee claim, ContractScout may ask the Client to provide sufficient information to verify whether revenue resulted from an opportunity generated through the service. Revenue will be assessed exclusive of VAT where VAT is applicable.



When revenue is counted

Revenue arising from an eligible opportunity generated during the Client’s first month may count towards the Guarantee even where the prospect does not become a customer immediately. For the purposes of assessing the Guarantee, attributable revenue will be measured from the start of the Client’s first month until 60 days after the end of that first 30-day period. This means an opportunity introduced towards the end of the first month still has a reasonable period in which to convert into paying business. Only revenue attributable to opportunities generated by ContractScout during the Client’s first month will count towards the £299 threshold. If total attributable revenue during the measurement period is less than £299, the Client may claim a refund subject to the remaining conditions of these Guarantee Terms.



Client responsibilities

To remain eligible for the Guarantee, the Client must reasonably cooperate with ContractScout throughout the first-month service and measurement period. The Client must provide accurate information about their services, target customers, geographic territory and any other information reasonably required to carry out the campaign. The Client must make reasonable efforts to respond promptly and professionally to genuine enquiries or expressions of interest generated through ContractScout. The Client must not deliberately ignore, discourage, delay or reject genuine opportunities for the purpose of reducing attributable revenue or qualifying for a refund. Where ContractScout reasonably requests information necessary to assess a Guarantee claim, the Client must provide sufficient and accurate information to allow the claim to be verified. Nothing in these Guarantee Terms requires the Client to accept commercially unreasonable work, unsuitable customers or business that they would reasonably decline in the ordinary course of their business.



How to claim

To make a claim under the Guarantee, the Client must contact ContractScout at contact@contract-scout.co.uk after the applicable revenue measurement period has ended. The claim must be submitted within 14 days of the end of the measurement period and should include the Client’s business name and sufficient information for us to identify their ContractScout account and campaign. ContractScout may request reasonable information necessary to verify the amount of attributable revenue generated from eligible opportunities during the measurement period. We will assess Guarantee claims fairly and in good faith and will not require information that is unnecessary or disproportionate for verifying the claim. If the conditions of these Guarantee Terms have been satisfied and attributable revenue is below £299, the Client will be entitled to a refund in accordance with the Refunds section below.



Refunds

Where a valid Guarantee claim is approved, ContractScout will refund 100% of the first-month service fee actually paid by the Client. Refunds will normally be made using the original payment method and will be processed within 10 business days of the claim being approved. The Guarantee provides a refund of the first-month ContractScout service fee only. It does not cover any other costs, expenses, losses or amounts incurred by the Client. Receiving a refund under the Guarantee does not require the Client to continue using ContractScout or purchase any additional month of service. Once the first-month service fee has been refunded in full, ContractScout will have satisfied its obligations under the Guarantee.



Exclusions

The Guarantee will not apply where the Client has materially prevented ContractScout from providing the service or has failed to meet the responsibilities set out in these Guarantee Terms. This may include circumstances where the Client:

  • provides materially inaccurate or misleading information about their business, services, target customers or territory;

  • fails to provide information reasonably required for ContractScout to carry out the service;

  • repeatedly fails to respond to genuine opportunities within a reasonable period;

  • deliberately rejects, ignores or discourages suitable opportunities for the purpose of qualifying for a refund;

  • attempts to conceal or misrepresent revenue attributable to a ContractScout opportunity;

  • has already had an active commercial relationship or ongoing sales discussion with a prospect before ContractScout introduced that prospect; or

  • otherwise acts fraudulently or abuses the Guarantee.

ContractScout will not refuse a Guarantee claim because a Client reasonably declines an unsuitable prospect, commercially unreasonable work or an opportunity that falls materially outside the agreed targeting criteria. Any exclusion will be applied reasonably and in good faith, taking account of the circumstances of the individual claim.



Relationship with our Terms & Conditions

These Guarantee Terms form part of the terms governing the Client’s use of ContractScout’s services and should be read alongside our Terms & Conditions and Privacy Policy. Except where these Guarantee Terms specifically provide otherwise, our general Terms & Conditions continue to apply to the Client’s service. If there is any conflict between these Guarantee Terms and our general Terms & Conditions specifically in relation to the operation of the ContractScout Guarantee, these Guarantee Terms will take precedence. Nothing in these Guarantee Terms limits or excludes any rights or remedies that cannot lawfully be limited or excluded.



Changes to the Guarantee

ContractScout may amend, replace or withdraw the Guarantee for future Clients at any time. Any change to the Guarantee will not affect a Client who has already started their first month of service while an earlier version of the Guarantee was in effect. That Client’s eligibility will continue to be assessed under the Guarantee Terms that applied when their service began. Any updated Guarantee Terms will be published on our website with a revised “Last updated” date. We may make minor administrative or clarifying changes that do not materially reduce the rights of existing eligible Clients.
